Terms of Service

MUXI is maintained of VarOps LLC, a subsidiary of Automaze Ltd.

These Terms of Service ("Terms") govern your use of muxi.org, muxi.ai, and their subdomains (collectively, the "Website"), the MUXI Formation Registry ("Registry"), and MUXI software products including the Server, Runtime, CLI, and SDKs (collectively, the "Software"). These Terms constitute a legally binding agreement between you and VarOps LLC ("VarOps", "we", "us", or "our").

By accessing or using the Website, Registry, or Software, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Eligibility

You must be at least 16 years old to use the Website, Registry, or Software. By using our services, you represent that you meet this age requirement.

2. Open Source Software

2.1 License Terms

MUXI Software is provided under open source licenses:

• MUXI Server and Runtime: Licensed under the Elastic License 2.0 (ELv2)
• CLI, SDKs, and all other components: Licensed under the Apache License 2.0

Your use of the Software is governed by the applicable open source license. In the event of any conflict between these Terms and the applicable open source license, the open source license shall govern with respect to the Software.

2.2 No Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.

2.3 Limitation of Liability

IN NO EVENT SHALL VAROPS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SOFTWARE, REGARDLESS OF WHETHER VAROPS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

3. MUXI Formation Registry

3.1 Description

The Registry (registry.muxi.org) is a directory service that indexes MUXI Formations. Formations are stored on GitHub; the Registry provides discovery, search, and metadata services.

3.2 Account Requirements

• Browsing and pulling Formations: No account required.
• Publishing Formations: Requires authentication via your GitHub account.

When you authenticate via GitHub, your Registry username will match your GitHub username.

3.3 Cost

The Registry is free to use.

3.4 Ownership and Licensing

You retain full ownership of any Formations you publish to the Registry. By publishing a Formation, you grant VarOps a non-exclusive, worldwide, royalty-free license to index, display, and distribute your Formation through the Registry.

Unless you specify a different license in your Formation file, your Formation is licensed under the MIT License by default.

You represent and warrant that:

• You own or have the necessary rights to publish the Formation
• Your Formation does not infringe any third party's intellectual property rights
• Your Formation complies with all applicable laws and these Terms

3.5 Prohibited Content

You may not publish Formations that:

• Violate any applicable law or regulation
• Contain malware, viruses, or other malicious code
• Are designed to circumvent security measures or exploit vulnerabilities
• Infringe any patent, trademark, copyright, or other intellectual property right
• Impersonate any person, organization, or entity
• Contain content that is defamatory, obscene, or promotes violence or hatred
• Facilitate illegal activity

3.6 Content Removal

We reserve the right to remove any Formation or listing from the Registry at our sole discretion, without prior notice, for any reason, including but not limited to violation of these Terms.

3.7 DMCA and Takedown Requests

We respect intellectual property rights and respond to valid takedown requests. If you believe content on the Registry infringes your copyright or other rights, contact us at dmca@varops.com with:

• Identification of the copyrighted work claimed to be infringed
• Identification of the allegedly infringing material and its location
• Your contact information
• A statement that you have a good faith belief the use is not authorized
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the rights owner
• Your physical or electronic signature

3.8 Reporting Violations

To report Formations that violate these Terms, contact us at legal@varops.com.

3.9 Fair Use

You agree to use the Registry and its API in a reasonable manner. Excessive automated requests, scraping beyond reasonable use, or any activity that degrades the Registry's performance or availability for others is prohibited. We reserve the right to rate-limit or block access to users who abuse the service.

4. Website

4.1 Use of Website

You may use the Website for lawful purposes only. You agree not to:

• Interfere with or disrupt the Website or servers
• Attempt to gain unauthorized access to any systems or networks
• Use the Website to transmit malware or malicious code
• Engage in any activity that violates applicable laws

4.2 User Content

If you submit content to the Website (such as documentation feedback, comments, or community contributions), you grant VarOps a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with operating and improving MUXI.

5. Account Termination

We may suspend or terminate your access to the Registry or Website at any time, for any reason, without prior notice. Upon termination, your right to use the Registry ceases immediately. Formations you have published may be removed from the Registry at our discretion.

6. Disclaimer of Warranties

THE WEBSITE AND REGISTRY ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. VAROPS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE WEBSITE OR REGISTRY WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• ANY DEFECTS WILL BE CORRECTED
• THE WEBSITE, REGISTRY, OR SERVER ARE FREE OF VIRUSES OR HARMFUL COMPONENTS
• FORMATIONS AVAILABLE THROUGH THE REGISTRY ARE ACCURATE, COMPLETE, SAFE, OR SUITABLE FOR ANY PURPOSE

YOUR USE OF THE WEBSITE, REGISTRY, AND ANY FORMATIONS IS AT YOUR OWN RISK.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VAROPS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• ANY DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE WEBSITE, REGISTRY, OR SOFTWARE
• ANY DAMAGES RESULTING FROM FORMATIONS OBTAINED THROUGH THE REGISTRY
• ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND WHETHER OR NOT VAROPS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BECAUSE THE WEBSITE, REGISTRY, AND SOFTWARE ARE PROVIDED FREE OF CHARGE, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED ONE HUNDRED US DOLLARS ($100).

8. Indemnification

You agree to indemnify, defend, and hold harmless VarOps, its officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Website, Registry, or Software
• Formations you publish to the Registry
• Your violation of these Terms
• Your violation of any third party's rights, including intellectual property rights
• Any claim that your Formation caused damage to a third party

9. Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

9.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Website, Registry, or Software shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Arbitration shall be conducted by a single arbitrator under the rules of the American Arbitration Association (AAA). The arbitration shall take place in Albuquerque, New Mexico, unless both parties agree otherwise. The arbitrator's decision shall be final and binding.

9.3 Class Action Waiver

YOU AND VAROPS AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

9.4 Exclusive Venue

For any disputes not subject to arbitration (including actions to enforce an arbitration award), you agree to submit to the exclusive jurisdiction of the state and federal courts located in Bernalillo County, New Mexico.

9.5 Time Limitation

Any claim arising out of or related to these Terms must be filed within one (1) year after such claim arose, or be forever barred.

10. General Provisions

10.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VarOps regarding your use of the Website, Registry, and Software (except as governed by applicable open source licenses).

10.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

10.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

10.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

10.5 Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Effective Date." Your continued use of the Website, Registry, or Software after changes constitutes acceptance of the modified Terms.

• Email to registered users (where applicable)
• Notice in the CLI/software
